Sundial Files U.S. Registration Statement and Canadian Preliminary Prospectus for Initial Public Offering and Applies for Nasdaq Listing

Sundial Growers Inc. (“Sundial” or the “Company”)  announced that it has filed a Registration Statement with the U.S. Securities and Exchange Commission (“SEC”) and a preliminary prospectus in Canada with the securities regulatory authorities in each province of Canada other than the Province of Quebec for a proposed initial public offering of its common shares. The number of shares to be offered and the price range for the offering have not yet been determined. In connection with the proposed offering, Sundial has applied to list its common shares on the Nasdaq Global Select Market (“Nasdaq”) using the ticker symbol “SNDL”. Listing on Nasdaq is subject to the Company satisfying applicable regulatory requirements, including fulfilling all Nasdaq listing requirements.

Cowen and BMO Capital Markets will serve as joint book-running managers for the proposed offering. Barclays is also serving as a bookrunner for the proposed offering.

The offering will be made only by means of a U.S. prospectus and a Canadian prospectus.
