PURE GLOBAL ANNOUNCES MORTGAGE FINANCING AND NON-BROKERED PRIVATE PLACEMENT

TORONTO, Feb. 10, 2020 (GLOBE NEWSWIRE) — Pure Global Cannabis Inc. (TSX.V:PURE; OTC: PRCNF) (the “Company” or “Pure Global” or “Pure”), an integrated growth-oriented cannabis bulk extracts and consumer products manufacturing company, operating through its wholly-owned subsidiary PureSinse Inc., a Health Canada Licensed Producer under the Cannabis Act, is very pleased to announce that it has secured a $7,000,000 First Mortgage financing from a prominent non-bank direct private Canadian lender (the “Lender”). Pure is also pleased to announce it has secure a second non-bank private lender mortgage in the amount of $250,000. In addition, the company is announcing a non-brokered private placement for proceeds of up to $2,100,000. These funds will be used to refinance current debt and provide Pure with new working capital.The mortgages will be secured by Pure’s two industrial warehouses located in Brampton, Ontario, one of which is fully licensed and operational for indoor cultivation, extraction, and processing. The $7,250,000 in mortgages will be apportioned as follow:$5,000,000 to refinance current debt;$932,500 to provide Pure with working capital;$682,500 to be used to create a 12-month interest payment reserve; $250,000 as a holdback for potential building remedial costs;balance to cover fees, transactional and legal costs.The private placement offering will consist of up to 37,500,000 units of the Company to be priced at $0.056 per unit. Each unit will consist of one Common Share and one-half Common Share purchase warrant. Each warrant will entitle the holder to purchase one Common Share at $0.1225. The warrants may be exercised beginning four months and a day after issuance then anytime for a period of 30 months following the Closing Date. Division Five – The Hemp Marketing Infrastructure
While marketing is a critical facet of any business operation for increasing revenues, Hemp, Inc. believes there must be a keen focus on the infrastructure first.  The demand for CBD and hemp products is massive, some even say the demand is insatiable.  In order to supply that type of volume/demand, there has to be a strong foundation or infrastructure in place.  While Hemp, Inc. is poised to grow a rock solid Hemp Marketing Infrastructure, CEO Perlowin reminds us that this infrastructure has to be able to support a meteoric industry growth.  The cannabidiol (CBD) market is on track to grow to $23.7 billion through 2023, according to the Brightfield Group.  The firm also estimated the smokeable hemp market to be valued at $11.5 million in 2018, a growth of 250% from 2017. “This is why we focus on infrastructure, at the moment, more so than specific marketing activities,” says Perlowin. “Specific marketing activities isn’t the issue.  The ability to grow, process and produce what the marketplace is demanding is the issue and hence the reason we focused on creating the infrastructure first.”Late January, 2020 the first King of Hemp StoreTM had a soft launch in Kingman, Arizona with a grand opening, red ribbon, lots of media coverage planned for early March 2020.  This 5,000 square foot Wells Fargo bank building is in the heart of Old Town Kingman next to historic Route 66 and will showcase everything hemp, including Hemp Blue’s hemp denim jeans (www.hempblue.com).The company has also recently joint-ventured with the retail store “Hemp Healthcare”, in Dolan Springs, Arizona, to sell high-end cannabidiol (CBD) and hemp-based products. “Hemp Healthcare” is home to an array of renowned CBD and hemp products, including Hemp, Inc.’s cosmetic and wellness line that includes shampoos, conditioners, lotions, candles and more. The retail storefront is conveniently located off Highway 93 in Arizona, in a highly trafficked tourist area. Specifically located on Pierce Ferry Road, “Hemp Healthcare” is next to “Dolan Station” – a location that welcomes numerous tour buses daily with visitors from around the world that stop there on trips to the Grand Canyon. On some days, up to 40 tour buses stop at this location, filled to the brim with tourists on their way to the Sky Walk at the western realm of the Grand Canyon.A second health care store will be opened in 2020 at Gateway Station in Dolan Springs, Arizona on Highway 93 about a quarter of mile before the turn off to go the Sky Walk at the western realm of the Grand Canyon. Like Dolan Station, Gateway Station will have numerous tour buses. The store is set to sell shampoos, conditioners, lotions, candles and more.Division Six – Accessories, Products and Services 
Division Six focuses on the sale of hemp industry accessories such as the sale of extractors, harvesters, storage bags, containers, fertilizer, soil amendments, humidifiers, dehumidifiers, balers, greenhouses, and greenhouse equipment; the drying, trimming, curing, storing and brokering for other farmers harvesting hemp; and ultimately anything else a hemp farmer may need to be successful. 
“What we found is that people are always looking for hundreds of items. New harvesting equipment, irrigation equipment of all kinds, soil amendments, organic soil fertilizers, organic pest control products, new extraction technologies and more,” said Perlowin. “As we expand this Division, we will strive to become the Amazon of the hemp industry.”

Division Seven – Research and Development 
While Research and Development has been an integral part of Hemp, Inc. since day one, a more formal research and development project is planned after significant revenues are created. This division will then start and expand rapidly. The Company originally planned for Puerto Rico to be a research and development hub, but found the barrier to entrance was much too great and has therefore changed its position to focus its research and development division on states where hemp is already legal. Hemp, Inc. is proud to have been a pioneer and leader in the early stages of the hemp industry in America with our strategy to build infrastructure even before legalization occurred in a state such as what was done in North Carolina and Arizona.

The company’s 500-acre strategic growing partner Veteran Village Kins Community in Golden Valley, Arizona, is designed to grow hemp and produce CBD products to benefit veterans as well as generate revenue for Hemp, Inc., the Veteran Village and individual veterans living in the community. 
The Veteran Village Kins Community in Arizona has completed its final site plan blueprints for its 500-acre site in Golden Valley, Arizona (20 miles north of Kingman, AZ and 90 minutes from Las Vegas, NV). The site plan was submitted to the Mohave County Building Department for final review. The Company is also in the final stages of completing the necessary infrastructure to support an off-grid, renewable, energy system.

This decision was reflected in Unrealized Fair Value on Finished Goods in the amount of $2.4 million, as compared to none at the end of the previous quarter.Loss and comprehensive loss for fiscal Q1 reduced 48% to $1.2 million or $(0.01) per share.Gross margin totaled $1.8 million, compared to $3,000 in in the same year-ago quarter.Operating expenses in fiscal Q1 2020 were $2.5 million, a 46% decrease from fiscal Q4 2019, and a 5% increase from fiscal Q1 2019.Received private placement equity funding of approximately $1 million.Secured a $4 million loan facility available in two tranches, with $2,850,000 received during the first quarter and the remaining portion received in the subsequent quarter. Obtained convertible security funding for up to $10 million available in two tranches, with $2 million drawn in the subsequent quarter and the remainder available subject to mutual agreement with the lender. Management Commentary“During our first fiscal quarter of 2020 we made tremendous strides in many areas of our business designed to better position JWC for success in the new year.  We focused our efforts on deriving the maximum value from all available resources and avenues, including our biological assets, branded products, key partnerships, proprietary technologies and newly established sales channels.“Our financial results for the quarter demonstrated that despite our strengthening platform, we were not immune to the challenges of an industry that is still evolving and striving for balance. While revenue declined substantially, this was largely purposeful, reflecting what we see as temporary conditions that are now set to pivot and launch in the opposite direction in the current quarter.“During fiscal Q1, we implemented a strategic response to the market. A combination of number of factors, primarily oversupply and the lack of legal sales outlets continued to drive the illicit market. As a result, our wholesale partners were unable to buy our products at historical prices, driving gross margins into the negative territory. So, we made the strategic decision to hold back on sales and preserve our biological assets until the oversupply subsided and the recreational market opened.“Our ability to attract various sources of capital even in this challenging environment demonstrated our strong value proposition and gave us the flexibility to pursue our strategy. We dedicated our resources to the development of our Cannabis 2.0 products, positioning ourselves to capture the anticipated growth in the recreational market in the current quarter. This has also included the formation of a variety of new partnerships and obtaining key regulatory approvals.“Experts are now predicting a three times growth in industry-wide sales in 2020, as the number of retail stores steadily increase as a result of eased regulations and the oversupply subsides. We expect this to support the sale of significant volumes of our products in Q2 and beyond.“Our primary focus will remain on becoming a highly successful cultivator and seller of clean, consistent cannabis. Combined with our industry-leading yields and lower cost of production due to our unique GrowthSTORM™ system, we believe we can achieve and sustain highly favorable margins and strong growth over the long term.”For the first quarter of fiscal 2020, revenues totaled a $264,000, decreasing 74% from $1,025,000 in the previous fiscal quarter, and by 52% from $550,000 in the same year-ago quarter.General and administrative costs increased to $2.1 million sequentially, and remained equal marginally at $2.1 million compared to the same year-ago period. Increases in salary and wages expense to $1.0 million in first quarter of fiscal 2020 from $622,000 in the same year-ago quarter was offset by the elimination of in rent expense due to the adoption of IFRS 16. Under IFRS 16, leases and rent expenses are no longer included in the income statement, but instead as a reduction to lease liabilities in the statement of financial position.Operating expense totaled $2.5 million, increasing 46% from $1.7 million in the previous quarter, and up 5% from the same year-ago quarter. Excluding two one-time items in Q4 2019 (the transfer of year to date production expense to inventory and the receipt of scientific research and experimental development (“SRED”) tax credit), operating expense decreased 4% from the previous quarter. (CSE: DOSE) (“RDT” or the “Corporation”) is pleased to announce receipt of its Canada Revenue Agency (CRA) Cannabis Licence in February 2020, and now has obtained all approvals for cannabis processing and packaging for Canada. The licensing was required by RDT in order for RDT as a service provider to accept delivery of cannabis oil from its customers for RDT to process its customers’ cannabis oil into QuickStrip™ products at its Burlington, Ontario facility. The QuickStrip™ products are then delivered to the customer from whom the corresponding cannabis oil was received.
Although RDT does not own, buy or sell cannabis, RDT has been categorized as a cannabis company by its insurance provider due to its cannabis licensing. RDT’s current Directors and Officers insurance provider has recently been acquired by another insurer. The new insurer has made the internal decision not to offer insurance coverage for cannabis and cannabis-related businesses.
