Edmonton, Alberta–(Newsfile Corp. – June 17, 2022) – Radient Technologies Inc. (TSXV: RTI) (“Radient” or the “Company”), a commercial manufacturer of diverse, novel and high-quality cannabis extracts and packaged products, announces that it intends to complete a best efforts non-brokered private placement financing of up to 30 units (the “Units”) at a price of $40,000 per Unit for gross proceeds of up to $1,200,000 (the “Offering”).
Each Unit shall consist of one million (1,000,000) common shares of the Company and five hundred thousand (500,000) common share purchase warrants (each, a “Warrant”), with each Warrant entitling the holder to purchase one common share of the Company at $0.07 per share for 36 months following the closing of the Offering, subject to early expiry if, commencing four months after the closing of the Offering, the common shares of the Company trade at a volume weighted average trading price of $0.15 or higher for a period of 20 consecutive days.
Closing of the Offering is expected to occur on or about June 30, 2022. Finder’s fees may be paid to eligible finders in accordance with the policies of the TSX Venture Exchange (“TSXV”).
The Company intends to use the net proceeds of the Offering for working capital and general corporate purposes. All securities issued in connection with the Offering will be subject to a statutory hold period of four months and one day. Completion of the Offering is subject to certain conditions, including TSXV approval.
